Mr Jencks said that VIScorp remains interested in completing the acquisition of the Amiga, and that fol- towing the expiry of the original offer the company submitted a lower bid. VIScorp say its plans for introducing an interactive télévision product dépend on both the Amiga technology and the support of the installed base of Amiga users. Although the contract expired on October 2, VIScorp contin- ued to operate Amiga Technologies until October 31 at its own expense and with the concurrence of the Trustée. It did so beireving that Amiga Technologies was of more value as an operating company, and it wanted to retain its value. During this time the company pard Amiga Technologies' salaries and gener- ated over $ 2 million in sales which have been credited against the final sale price. In a document filed at the US Secondes and Exchange Commission on October 30, the company admitted that it "cannot currently gener- ate suffïcient revenues and cash flow from opération to meet its business obligations." These financial problems, combined with the fact that the company has run at a loss since its inception, mean that ViScorp's business requires funding to continue development of its set top box products. However, the Commission file warns that investment in VIScorp is highly spéculative' and that there is 'doubt as to whether the company can continue as a going concern.' ViScorp's chairman daims that funding arrangements are currently in process, though how much the company requires remains unspecified. David Robinson, the lawyer overseeing the ESCOM liquidation process has stated that VIScorp is no longer the leading candidate for the acquisition of the Amiga assets. If the company fails to atquire the Amiga, it is uncertain as to whether it will be able to base its set top boxes on Amiga technology. To date VIScorp has used this technology to develop ED, a set top box, under licence from ESCOM. However, Robinson daims that if VIScorp fails to acqurre the Amiga assets the licence will be cancelied. If that happens, VIScorp hopes any new owner of Amiga Technologies will be willing to relicense it to allow it to continue to produce ED as planned.
